These terms govern the use of VEI's website and the general conditions for professional proposals. Each project will be completed with a specific proposal or Statement of Work.

1. Scope and acceptance

The website provides corporate information and a contact form. It is not an online store and does not itself formalise a service contract.

By submitting a form you confirm that the information provided is accurate and that you have capacity to act for yourself or for the entity you represent.

2. Professional services

VEI provides technology consulting, software development, automation, artificial intelligence solutions, technical support, and related digital services.

Scope, deliverables, milestones, dependencies, price, timelines, specific warranties, and acceptance criteria will be defined in the commercial proposal, contract, or Statement of Work signed by the parties.

3. Proposals, payments, and changes

Proposals remain valid for the period stated in them. If no period is stated, they are indicative until expressly confirmed in writing. Prices exclude taxes unless otherwise stated.

Scope changes, new features, urgent work, unplanned integrations, or external dependencies may require adjustments to price, schedule, or deliverables.

4. Client obligations

The client must provide information, access, materials, and decisions within a reasonable time. Delays caused by lack of cooperation, unplanned changes, or third-party dependencies may affect the schedule.

The client is responsible for having sufficient rights over the materials, data, and systems provided to VEI.

5. Artificial intelligence and third parties

When a project includes AI, automation, or third-party services, the parties will define permitted data, restrictions, human review, usage limits, and responsibility for outputs.

AI outputs may require human validation. VEI does not warrant that an automated output is accurate, complete, or suitable for critical decisions unless expressly agreed with appropriate controls.

6. Intellectual property

Unless otherwise agreed, deliverables specifically developed for the client are assigned to the client once all amounts due have been fully paid.

VEI retains ownership of methodologies, know-how, libraries, pre-existing components, internal tools, and reusable elements. Third-party and open-source software is governed by its own licences.

7. Confidentiality and data protection

The parties will treat non-public information received in connection with a proposal or project as confidential. This obligation remains during the relationship and for three years after it ends, unless law or contract requires a longer period.

When VEI processes personal data on behalf of the client, the parties will enter into the required data processing agreement before that processing starts.

8. Warranties, availability, and liability

VEI will act with professional diligence and technical best practices. The website is provided as is and may be interrupted by maintenance, deployments, or provider incidents.

Except for fraud, gross negligence, or liability that cannot legally be limited, VEI's total liability for a project is limited to the amounts actually paid by the client during the six months before the event giving rise to the claim.

9. Permitted website use

The website may not be used for unlawful activity, spam, unauthorised intrusion testing, abusive scraping, impersonation, malware upload, or any action that compromises VEI's or third parties' security.

VEI may block requests, limit submissions, or adopt reasonable technical measures to protect the website, CMS, and its users.

10. Governing law and jurisdiction

These terms are governed by Spanish law. If a user acts as a consumer and mandatory law grants another venue, that rule will be respected. In B2B relationships, the parties submit to the courts of Madrid unless otherwise agreed in writing.

VEI may update these terms to reflect legal, technical, or commercial changes. The current version is the one published on this page.
